Terms of Service

1. Your Agreement

These Terms of Use (the "Terms") are a legally binding agreement between you and FAN2SEE LTD. ("FAN2SEE," "we," "our," "us"), the operator of the FAN2SEE platform, including our website, apps, and related services (collectively, the "Platform").

These Terms apply to all users, including Creators and Fans.

Other policies that form part of these Terms (together with these Terms, the "Terms of Service"):

• Content Monitoring Policy
• Complaints Policy
• Acceptable Use Policy (included below)

2. Definitions

3. Eligibility (18+ Only)

You must be at least 18 years old (and old enough to be legally bound by a contract where you live) to access or use the Platform.

By using FAN2SEE, you confirm that:

• You are 18+; and
• Your use of the Platform is legal in your location.

If you do not meet these requirements, do not use FAN2SEE.

4. Changes to the Terms or the Platform

4.1 Changes to Terms

We may update these Terms:

• to reflect legal/regulatory requirements;
• to address security, fraud, abuse, or operational risks; or
• to improve the Platform and our services.

Where reasonable, we will provide notice (e.g., via email or in-product notice). Continued use after updates means you accept the updated Terms.

4.2 Platform Changes

We may modify, suspend, or discontinue all or part of the Platform for business, operational, safety, or security reasons. We will try to give reasonable notice of material changes when practical.

5. Account Registration and Security

To use FAN2SEE, you may need to create an account and provide accurate information.

You agree:

• all information you provide is true, accurate, and complete;
• you will keep your account information current;
• you will keep login credentials confidential;
• you are responsible for all activity on your account (even if someone else uses it).

Notify us immediately if you suspect unauthorized use.

6. Your Commitments to Us

You agree that you will not:

• violate these Terms or any policy;
• use the Platform for illegal purposes;
• attempt to bypass paywalls or access Content without authorization;
• scrape, reverse engineer, attack, or interfere with the Platform.

7. Content on FAN2SEE

7.1 User Content Responsibility

All Content is created and provided by Users. We do not endorse Content and are not responsible for it.

7.2 Content Moderation

We may review, monitor, remove, restrict, or disable Content and accounts to enforce our policies and comply with law.

7.3 Non-Consensual / Unlawful Content

Any unlawful, abusive, harassing, hateful, or non-consensual content is prohibited and may result in immediate account action.

8. Intellectual Property

8.1 Your Ownership

You retain ownership of your Content. You must have all rights necessary to upload and share it.

8.2 License to FAN2SEE

By uploading Content, you grant FAN2SEE a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and make your Content available solely to operate, market, and improve the Platform.

8.3 Fan License

When a Fan accesses Creator Content through a Subscription or PPV, the Fan receives a limited, personal, non-transferable license to view the Content for personal use only. Fans may not copy, record, redistribute, or publish Content.

8.4 Reporting Infringement

We respond to valid copyright notices and provide a counter-notification process for disputes.

9. Payments, Fees, and Taxes

9.1 Payment Processing

Payments are processed via third-party payment processors. You authorize us and processors to charge your selected payment method for Fan Payments. You are responsible for any bank or card fees, including currency conversion.

9.2 Platform Fees & Creator Tiers

Creators participate in a tier-based revenue sharing model. A Creator's revenue share is determined by their Creator Tier, calculated based on monthly gross revenue.

Creator Tier Thresholds

• Muse: Less than ₦25,000,000
• Desire: ₦25,000,000 to less than ₦75,000,000
• Siren: ₦75,000,000 to less than ₦200,000,000
• Fantasy Icon: ₦200,000,000 and above

Revenue Shares by Tier

• Muse: Tips 75% • Unlocks 75% • Subscriptions 75% • Requests 75%
• Desire: Tips 80% • Unlocks 80% • Subscriptions 78% • Requests 82%
• Siren: Tips 85% • Unlocks 85% • Subscriptions 82% • Requests 88%
• Fantasy Icon: Tips 90% • Unlocks 88% • Subscriptions 85% • Requests 90%

Tier Evaluation and Retention

• Tiers are evaluated based on gross revenue within each calendar month.
• A Creator's effective tier is the higher of: (a) the tier based on current month revenue, or (b) the tier achieved in the previous month.
• This retention mechanism provides Creators with one month of protection against tier downgrade.

Example: If a Creator achieves Siren tier in January but earns below the Siren threshold in February, they will retain Siren tier benefits during February. In March, since February's revenue did not meet the Siren threshold, the Creator's effective tier will be based on the higher of their March or February achievement.

The maximum revenue share available is 90%. Revenue shares apply before deductions for taxes, payment processing fees, chargebacks, refunds, or currency conversion fees.

9.3 Taxes

You are responsible for your own taxes. Where required, we may collect or remit taxes and/or request tax information.

9.4 Earnings Availability

Creator earnings become available once transactions are confirmed and reflected in the creator's balance.

9.5 Holding Period

Creator Earnings may only be withdrawn after a seven (7) day holding period from the date the earnings are generated.

The holding period allows FAN2SEE to manage fraud prevention, chargebacks, disputes, and compliance checks.

9.6 Minimum Payout Threshold

The minimum payout threshold is ₦100,000 or USD $75 (or equivalent, depending on payout method).

9.7 Payout Methods

• Nigerian bank transfer: processed within 1 business day
• Cryptocurrency payouts: processed within 2–3 business days

9.8 Withdrawal Requirements

Withdrawals are subject to:

• completion of identity and age verification (KYC);
• meeting the minimum payout threshold;
• availability of the selected payout method.

9.9 Payout Timelines

Payout timelines may vary due to compliance checks, public holidays, or third-party processor delays.

All payouts are processed via third-party payment providers, and processing times are estimates rather than guarantees.

9.10 Payout Delays and Withholding

FAN2SEE reserves the right to delay, withhold, or reverse payouts where earnings are subject to:

• investigation;
• dispute;
• chargeback;
• refund;
• suspected policy violations.

9.11 Forfeiture

Earnings associated with accounts found to be in breach of the Terms of Service or platform policies may be forfeited where permitted by law.

9.12 Payout Information Accuracy

Creators are responsible for ensuring that their payout details are accurate. FAN2SEE is not responsible for delays or losses caused by incorrect payout information provided by the creator.

10. Fan Purchases

FAN2SEE enables:

• Subscriptions (monthly exclusive access)
• PPV (one-time unlocks, including in messages)
• Tips (on profiles, content, and messages)
• Requests(enable fans to request custom content)

FAN2SEE facilitates transactions but is not a party to any separate agreement between a Fan and Creator beyond Platform functionality.

11. Auto-Renewal and Cancellation

If a Subscription is set to auto-renew, you authorize recurring charges until you cancel.

If you cancel, access remains until the end of the billing period (unless otherwise required by law or policy enforcement).

12. Refunds and Chargebacks

All sales are generally final once access to Content is provided, unless required by applicable law or explicitly stated in a policy.

You agree not to submit fraudulent or bad-faith refund requests or chargebacks. We may suspend or terminate accounts for abuse.

13. Creator Account Setup, KYC, and Verification

To become a Creator, you may be required to provide identity/age verification and additional information.

Basic KYC is required before withdrawals for safety and compliance.

We may reject or revoke Creator status if verification fails or if we suspect fraud or policy violations.

14. Creator Obligations

Creators agree that:

• all Content complies with these Terms and the Acceptable Use Policy;
• they have all rights/consents required (including for anyone appearing in Content);
• they will not upload non-consensual content or content featuring anyone under 18.

Creators must not mislead Fans about what they are selling (e.g., bait-and-switch, fake "live" streams, false promises).

15. Co-Authored / Third-Party Appearances

If Content includes any other person, the Creator must:

• ensure the person is 18+;
• obtain and retain written consent/releases;
• provide proof upon request.

Failure may result in content removal, account restrictions, withholding of earnings, or termination.

16. Creator Earnings, Payouts, and Withholding

16.1 Earnings and Payout Methods

FAN2SEE supports global payouts with region-appropriate methods. Payout methods, timelines, and thresholds may vary by location.

16.2 Minimum Thresholds

Creators may only withdraw once they meet minimum thresholds and complete verification.

16.3 Withholding / Reserves

We may withhold or delay payouts where necessary to investigate:

• fraud, chargebacks, or refund spikes;
• suspected policy violations;
• suspected unlawful activity; or
• compliance/KYC issues.

17. Acceptable Use Policy

You agree that you will not upload, post, stream, send, or otherwise share Content that:

A. Age, Consent, and Identity

• includes, depicts, or involves any individual under 18 years old;
• includes any other individual without written documentation confirming they are 18+ and have consented.

B. Prohibited Acts and Materials

Content that shows, promotes, or refers to:

• firearms, weapons, or prohibited goods;
• drugs or drug paraphernalia;
• self-harm or suicide;
• incest, bestiality, or necrophilia;
• violence, rape, lack of consent, or sexual assault;
• "revenge porn" or non-consensual intimate imagery;
• escort services, sex trafficking, or prostitution.

C. Deepfakes and Manipulation

Unsolicited sexual content, fake or manipulated sexual content (including deepfakes) relating to any individual is prohibited.

D. Hate Speech and Harassment

Content intended to vilify, humiliate, threaten, or incite hatred against individuals or groups based on protected characteristics is prohibited.

E. Platform Abuse

• bypassing paywalls or unauthorized access;
• using bots, scrapers, or automated tools;
• violating intellectual property or privacy rights;
• sharing personal data without permission (doxing).

18. Reporting Content / Complaints

Users and non-users may submit complaints about content or conduct by emailing support@fan2see.co with details and relevant URLs.

We will acknowledge receipt, investigate in good faith, and take appropriate action including removal of unlawful content and account enforcement.

19. Disclaimers

To the maximum extent permitted by law:

• we do not guarantee uninterrupted access to the Platform;
• we are not responsible for third-party payment processor failures;
• we are not responsible for Users copying or redistributing Content;
• we are not responsible if you are identified from your Content.

20. Limitation of Liability

Nothing in these Terms limits liability where unlawful to do so (including liability for fraud).

To the maximum extent permitted by law, FAN2SEE's total liability to you for any and all claims arising out of or relating to your use of the Platform shall be limited to ₦50,000 (fifty thousand Nigerian Naira).

21. Suspension / Termination

We may suspend or terminate access to the Platform if you breach these Terms, including repeated or serious violations, fraud, or harmful conduct.

22. Account Deletion

You may request deletion via the app or by contacting support@fan2see.co.

If you are a Creator, deletion may be processed after payout settlement and any open disputes/chargebacks are resolved.

23. Governing Law / Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to mandatory consumer protection laws, the courts of Nigeria shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or your use of FAN2SEE.

24. Entire Agreement / Severability

If part of these Terms is unenforceable, the rest remains in effect. These Terms form the entire agreement about your use of FAN2SEE.
